Welcome to Aurellix Pay. These Terms of Service ("Terms") govern your access to and use of the Aurellix Pay platform, website, APIs, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
1. Definitions
- "Platform" refers to the Aurellix Pay payment processing platform, including its web interface, APIs, and mobile applications.
- "Merchant" refers to any business entity or individual that integrates or uses the Platform to accept payments.
- "User" or "Payer" refers to any individual making payments through a Merchant's integration.
- "Services" encompasses all payment processing, settlement, and related financial services provided by Aurellix Pay.
2. Eligibility and Account Registration
- You must be at least 18 years old and have the legal capacity to enter into binding agreements.
- Merchants must be duly registered business entities with valid business licenses in their operating jurisdictions.
- You must provide accurate, complete, and current information during registration and keep your account information updated.
- We reserve the right to refuse service, suspend, or terminate accounts at our sole discretion.
3. Permitted Use
You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:
- Use the Services for money laundering, terrorist financing, or any illegal activity
- Process transactions involving sanctioned entities, individuals, or jurisdictions
- Circumvent or attempt to circumvent transaction limits, security measures, or compliance checks
- Provide false, misleading, or fraudulent information
- Engage in chargeback fraud or payment disputes in bad faith
- Use the Services to process payments for prohibited goods or services (including but not limited to illegal drugs, weapons, gambling in restricted jurisdictions, adult content without proper age verification)
4. Payment Processing
4.1 Transaction Processing
We facilitate the processing of payments in supported fiat currencies and stablecoins (including USDT and USDC). Transaction processing is subject to availability, network conditions, and applicable limits.
4.2 Fees
Service fees are outlined in your Merchant agreement or displayed on the Platform. We reserve the right to modify fees with reasonable advance notice.
4.3 Settlement
Settlement times vary based on payment method, currency, and jurisdiction. We will make commercially reasonable efforts to process settlements within the stated timeframes.
4.4 Exchange Rates
Where currency conversion is required, exchange rates will be determined at the time of transaction processing and may include a markup over the interbank rate.
5. Compliance Obligations
- Merchants must implement and maintain adequate KYC (Know Your Customer) and AML (Anti-Money Laundering) procedures.
- You must cooperate with any compliance audits or information requests from Aurellix Pay.
- We may suspend or terminate services if you fail to meet compliance requirements.
- You are responsible for obtaining all necessary licenses and registrations in your operating jurisdictions.
6. Intellectual Property
All intellectual property rights in the Platform, including software, designs, logos, and documentation, are owned by Aurellix Pay or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Platform in accordance with these Terms.
7. Limitation of Liability
To the maximum extent permitted by law:
- Aurellix Pay shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the fees paid by you to us in the 12 months preceding the claim.
- We are not responsible for losses arising from circumstances beyond our reasonable control, including but not limited to blockchain network failures, banking system disruptions, or force majeure events.
8. Indemnification
You agree to indemnify and hold harmless Aurellix Pay, its affiliates, officers, and employees from any claims, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.
9. Termination
Either party may terminate this agreement with 30 days written notice. We may immediately suspend or terminate your access if you breach these Terms, engage in fraudulent activity, or pose a compliance risk. Upon termination, you remain liable for any outstanding fees or obligations.
10. Dispute Resolution
Any disputes arising from or relating to these Terms shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with the rules of the applicable jurisdiction.
11. Modifications
We may update these Terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Services constitutes acceptance of the modified Terms.
